They shape political decisions, create positive or negative national moods and work as catalysts for other changes on regional or international levels. In the US history, there were loads of such moments: Cold War, the assassination of JFK, 9/11, etc.à They are still remembered and discussed because they left a trace that will never fade away. So, you can rely not only on the articles or research works of others but also on your own independent opinion. Choose one of the topics and create a historically significant academic paper.

Company Law legislation Essay Example | Topics and Well Written Essays - 3000 words
Company Law legislation - Essay Example 'A contract which purports to be made by or on behalf of a company at a time when the company has not been formed has effect, subject to any agreement to the contrary, as one made with the person purporting to act for the company or as agent for it, and he is personally liable on the contract accordingly.' The UK legislation provides that promoters are personally liable on pre-incorporation contracts, a reform of the common law position which made liability of the promoter dependent on the manner in which the contract was signed. (Mrs. Janet E. Morgan)2 As the company Beta Limited was not in existence, at the time the lease contract was entered into whether Sam being the promoter is liable on the contract depends on the capacity in which he purported to sign the lease contract. Since the contract was signed by Sam as promoter using the wordings "on behalf of Beta Ltd", it can be assumed that he signed the contract in his personal capacity and hence, he becomes personally liable, under the contract for any consequences. This position was confirmed by the court in the case of Phonogram Limited v Lane3 The position would be different if he has signed as "Beta Limited per Sam" then it amount to his signing on behalf of the company. In this case he will not be liable as he has signed on behalf of a company which does not exist. Liability of Beta Limited: Since the contract was signed by Sam using the words 'on behalf of Beta Ltd' the company does not become liable on the lease agreement as was decided in the case of Phonogram Limited v Lane However since the company has continued to pay the lease rent after occupying the premises it amounts to ratification of the action of Sam in leasing the premises on behalf of the Beta Limited entered into prior to incorporation. At the point when Gamma limited wants Beta Limited to quit it cannot pass on any liability arising there from to Sam under the plea that the contract is entered into prior to incorporation. Another example to illustrate this case is the decision In Newborne v Sensolid (GB) Ltd4 Here a contract was entered by the plaintiff company with the contract signed as Leopold the promoter as "Yours faithfully, Leopold Newborne (London) Ltd". The court held that neither the company nor the promoter could compel the defendant to enforce the contract as the contract was neither purported to be signed by the company nor the promoter. Yet another case that proves the invalidity of the contract if the company was not in existence at the time the contract was entered into can be seen in the case of Cotronic (UK) Ltd v Dezonie5 where Dezonie signed a contract for and on behalf of his company and unknown to him the company was struck off the register about years earlier. On knowing this that the company was no more in existence, Denzonie registered another company in the same name and tried to interpret s. 36c to his advantage. The court held that s. 36c would not be applicable as the case was relating to a company that had been formed many years before. The decision of the court in the case of Oshkosh B'Gosh v Dan Marble Inc and Another6 is also

PROBLEM STATEMENT Essay Example | Topics and Well Written Essays - 500 words
PROBLEM STATEMENT - Essay Example At a societal level, difference and its history of institutionalization in apartheid is a constant challenge in South Africa: the most glaring difference being between those who have resources and those who do not. There is also constant awareness of the different losses they struggle to make sense of. Many South African couples struggle to survive economically, or even physically, with illnesses such as Aids and Tuberculosis; others are torn between their traditional and new religion, culture, identity, and family structures. Some might face trauma from the high crime rate, the loss of friends and family through emigration and an uncertain future, with the prophetic words of Breyten, Breytenbach ringing in their ears from across the Pacific: If you Can Stand the Loss, Leave S.A. Now (headline in the Cape Times, November 2008). All change, of course, is typically accompanied by some feelings of loss. (Marris, 1974). The issue of managing difference and loss, most especially when this is extreme, preoccupies many South Africans. In this regard, the words of Charles Waldegrave (2008) come to mind: When you begin to honour different cultures equally, you can expect many cross-cultural collisions. In this paper we suggest that it is in the conscious mourning and reparation following cross-cultural collisions or the confrontation of differences in couple work and in society that the healing of relationships can start to flourish. The differences - death and life, black and white, haves and have-nots can begin to challenge each other in a way which could eventually lead to reflective and responsible introspection, and hence to more grounded reparation. In South Africa, however, this process often seems more complicated. In South Africa the process of mourning is frequently blocked by unconscious processes, most especially in times of trauma and extreme forms of loss. This idea arose

Abortion and Religious Aspects Essay Example | Topics and Well Written Essays - 250 words
Abortion and Religious Aspects - Essay Example However, the main question is what leads to most of the women in committing abortion. Some of the religious leaders claim that American politics plays a major role in enhancing a great number of women to commit abortion. For example, Mary Meehan claims in a journal published last year that many liberals in America support abortion for political gains (Meehan 1). Meehan illustrates that the liberals claim that women ought to have the right to abort at their will in order to have equality especially in employment (Meehan 16). Apart from politics, religious organizations, for example, the Catholics claim that abortion is a result of poverty, poor health care and unemployment (Cahill 189). Cahill also mentions that these factors also tend to be a major hindrance when the organizations try to curb the act of abortion in the country. However, even after the arguments that occur relating to abortion, religious organizations stand on their main objective that everyone has a right to live (Gardoski 54). Abortion tends to be one of the central aspects of the discussion that emerges especially during the election period. This is because some people support the act by pointing out various reasons while others oppose. However, religious organizations have clearly come out to demonstrate their side on this issue and they totally oppose the act. The main issue that everyone including the government should consider is figuring out the main reasons that lead to abortion in order to curb the activity.

Unity Among Student Scientists :: Personal Narrative Essays
Unity Among Student Scientists This summer I had the opportunity to attend the APEC Youth Festival in Singapore. On July 23, I arrived in San Francisco at the Marriott to gather with 19 other students from around the United States. The purpose of this gathering was to discuss our future trip to Singapore and to get acquainted with each other before we left. APEC stands for Asian Pacific Economic Cooperation. The purpose of the APEC Youth Festival is to bring unity among other student scientists from all around the world. Students who attended the Festival came from eleven different economies and all brought a unique culture with them. The festival included various activities, such as a cultural exchange, science and technology lectures, a youth science summit, a farewell party, and tons more. Every activity at the science festival was a learning experience. Two days of cultural performances were held, in which each of the economies put on a five-minute performance representing their culture. My favorite of these was the drum performance by the Koreans, but each of the dances by the many Asian cultures were equally good. And the U.S. economy's performance . . . who could forget about that? Did anyone really know what they were doing? Although the U.S. economy's cultural presentation definitely didn't turn out as expected, we gave the audience a good laugh and started a new craze among the other attendees: the shark song. The students' cultures were reflected not only in the two cultural presentations that were held, but also in the way they presented themselves at the conference. By attending the AYSF, I received a little taste of different cultures stretching all the way from Australia to Thailand. The real cultural experience came from the learning about the laws, languages and customs of Singapore. In Singapore, there are many laws that are strictly enforced, such as no chewing gum, no picking flowers, mandatory flushing of toilets and no bird feeding. The most outrageous law is the "no peeing in elevators" law. By the cleanliness of Singapore, one could tell the laws are enforced. In Singapore, just about every student that I had the opportunity to meet spoke two different languages. All spoke English and another Asian language. I had the opportunity to get to know students that spoke Chinese, Malay, Indonesian, Thai, and many more.

A Person Who Inspire Me the Most
Songsnumber-onesinglesAndre Hill September 30, 2010 3rd period The person that inspires me most is my mom. The reason I say this is because sheââ¬â¢s a strong black woman and she stands independently facing all odds. She inspires me to be the best I can be and to always give my all in whatever Iââ¬â¢m doing. Whenever I need something, all I have to do is ask and I know if itââ¬â¢s possible, sheââ¬â¢ll provide it. Itââ¬â¢s always been like that with her and not with just me, but all of my brothers. I think the reason we may act uncivilized when dealing with authority is because we know we have a mother whoââ¬â¢ll bail us out 9 times out of 10.If I didnââ¬â¢t have her, I would probably be a drop out because I wouldnââ¬â¢t have anyone in my ear telling me to get my grades up. My mom tells me what to do and she means just that. She has her flaws like every human does but they arenââ¬â¢t easy to spot in her. Weââ¬â¢re not rich or close to it but from everythi ng I have you wouldnââ¬â¢t be able to tell. I never go without anything I need or in a lot of cases, anything I want. I know she would give me her last dollar. For exampleâ⬠¦if my mom and I both wanted a candy bar and she only had two dollars on her, without a doubt she would buy it for me.She thinks of others before herself a lot and that could cause people to try to run over you but not with my mom. My mom is very smart and she pushes education to the max in my household. When I bring home bad grades I know it hurts her just as much as it hurts me, maybe a lot more actually. I always use manners and thatââ¬â¢s because she tells me that education and respect will take me far in life. And that it would make people respect me. I want to be an R&B singer when I grow up and my mom tells me I can be anything I want to be.I donââ¬â¢t know if she really believes that or if sheââ¬â¢s just saying it because it sounds good, but I know that thatââ¬â¢s the kind of motivation I need. If I donââ¬â¢t have any support from anyone else, I know Iââ¬â¢ll have some from her. I can count on my mom for anything. If I was to fall from a plane Iââ¬â¢m willing to bet any amount of money my mother would be there to catch me, not letting a strand of my hair touch the ground. Iââ¬â¢m not Andre Hill September 30, 2010 3rd period saying that sheââ¬â¢s a body builder or anything like that. Iââ¬â¢m just trying to explain the love she has for me in words. Her love makes me want to be like her and to treat my kids in the future the way my mom treats me. I want to be able to give that type of love to everyone. If the world had that type of love there would be no tears falling or violence. I try to make the right decisions to satisfy my mom and myself. I donââ¬â¢t want to put her thru anything that would cause her to hurt. . I mean sheââ¬â¢s wonderful and I wouldnââ¬â¢t trade her for anything or anyone in the world. I love my mom to death and she ins pires me more than any celebrity or person in the past could ever do. Argumentative Essay About Why Smoking Should Be Banned
Ban Smoking in Public Places Smoking is one of the leading causes of preventable deaths in the United States, and doing it in public is even worse because smokers not only harm themselves, but also those around them. I remember how my great uncle would always smoke in his house regardless of his surroundings. When his daughter visited him for a vacation, she brought her three year old daughter with her. The baby was healthy before coming to her grandpas house, but in less than two weeks, she had developed ear infections and started to cough. When they went to the doctors office to find out how she had gotten it, the doctor linked it back to the second hand smoke that she was breathing in. When my great uncle found out about it, heâ⬠¦show more contentâ⬠¦According to Tree Hugger, cigarette butts have been found inside the stomachs of birds and fishes (McLaren). Non-smokers should not be worrying about paying more medical bills, especially in todayââ¬â¢s economic situation. Many businesses provide health insurance to their employees. According to a statistical data collected by Live Strong, empl oyers spend an extra $49 million in medical costs for employees who are exposed to secondhand smoking in their jobs (Nelson).
